Project conditions private label drink development

1. Goal


This project appendix outlines how a private label drink project proceeds and what is and is not included in the assignment. This appendix is supplementary to the general terms and conditions of NewSpirits.  

2. Project phases


A project can consist of:

1. Intake;
2. Brand strategy;
3. Concept development;
4. Name and story;
5. Brand design;
6. Bottle choice;
7. Label design;
8. Packaging;
9. Flavor development;
10. Sample;
11. Final approval;
12. Production preparation;
13. Bottling;
14. Delivery. Not every project automatically includes all phases.

The quote determines the scope.  

3. What is standardly included in the assignment?


Only the work that is explicitly stated in the quote.
For example: 

One intake meeting; 
One concept proposal; 
One label design; 
One or two rounds of corrections; 
Advice on bottle and packaging; 
Coordination with production partner; 
Preparation of print files; 
Project coordination.

4. What is not included as standard in the assignment?


Not included as standard are:

Trademark registration;
Legal trademark research;
Barcode application;
GS1 registration;
Excise advice;
Permit advice;
Export documents;
Legal review of labels;
Extensive recipe development;
Extra samples;
Photography;
Webshop development;
Social media campaigns;
Distribution;
Sales guarantee;
Storage;
Transport;
Urgent work;
Extra rounds of corrections;
Changes after approval.

These activities are considered additional work unless otherwise agreed in writing.

5. Approvals


Client must give written approval on:

Brand name;
Concept;
Design;
Label;
Packaging;
Alcohol percentage;
Volume measure;
Flavor direction;
Sample;
Proof print;
Production quantities;
Payment moments;
Planning.

Without agreement, NewSpirits does not need to start the next phase. 

6. Correction rounds 


1. The number of included correction rounds is stated in the quote.
2. Extra correction rounds will be charged as additional work.
3. Corrections must be submitted clearly, completely, and bundled.
4. Changes after final approval may affect price, planning and production

7. Bottle, closure, label, and packaging  


1. Availability of bottles, caps, labels, and packaging depends on suppliers.
2. Small deviations in color, material, print, shape, glass, label position, or packaging may occur.
3. For special bottles, printed bottles, sleeves, premium packaging, or cartons longer delivery times and higher deposits may apply.

8. Production planning   


1. Production planning depends on approval, payment, availability of materials, and capacity with production partners. 
2. A desired launch date is only binding if it is confirmed in writing as a hard deadline.
3. NewSpirits is not liable for delays due to late feedback, missing data, external suppliers, transport, or force majeure.

9. Payment per phase   


For private label projects, I recommend this payment schedule:

25% upon order confirmation
25% upon agreement on concept/design phase
30% before ordering bottles, labels, packaging or production preparation
20% before delivery or pickup For larger productions or expensive custom bottles, I would ask for a higher percentage before material ordering

10. Sales and market introduction   


NewSpirits can think along about marketability, appearance, positioning, and initial market introduction.
NewSpirits does not guarantee:

Sales results;
Purchases by horeca or retail;
Acceptance by wholesalers;
Online visibility;
Approval by platforms;
Acceptance by distributors;
Success of the brand.

11. Legal and tax control   


The client remains responsible for:

Permits;
Excise duties;
Age verification;
Country of sale;
Labeling;
Claims;
Import/export;
Consumer law;
Online sales regulations;
Advertising restrictions;
Industry regulations.

In case of doubt, the client should seek legal, tax, or food safety advice.

12. Conclusion   


This project annex, together with the quote, order confirmation, general terms and conditions, and any processing agreement, forms the complete basis for the project.

In case of contradiction, this order applies:

1. Written custom agreements;
2. Quote or order confirmation;
3. Project attachment;
4. Processor agreement for privacy matters;
5. General terms and conditions.
